Terms of Service

These Terms of Service ("Terms") govern your access to and use of the INDRA Identity platform, including all alpha and beta program participation, APIs, and websites operated by INDRA Identity, Inc. ("INDRA," "we," "us"). By accessing the Services or joining an alpha/beta program, you agree to these Terms.

1. Alpha & Beta Program Participation

1.1 Eligibility. Alpha and beta access is granted at INDRA's sole discretion. You represent that you are an authorized representative of an enterprise organization with authority to bind that organization to these Terms.

1.2 Evaluation Only. During the alpha and beta periods, the Services are made available for evaluation and testing purposes. The Services may contain bugs, incomplete features, and may be subject to downtime without notice.

1.3 Feedback. You grant INDRA a royalty-free, worldwide, irrevocable license to use, incorporate, and commercialize any feedback, suggestions, or ideas you provide regarding the Services. INDRA is not obligated to implement any feedback.

1.4 No SLA. No uptime, availability, or support service level agreements (SLAs) apply during the alpha period. We will make commercially reasonable efforts to maintain availability but make no guarantees.

1.5 Program Changes. INDRA may modify, suspend, or terminate the alpha/beta program at any time with reasonable notice to participants.

2. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Attempt to reverse-engineer, decompile, or extract source code from the INDRA platform
• Conduct unauthorized penetration testing or security scanning of INDRA infrastructure without prior written consent
• Use the Services to develop a competing product or service
• Transmit malware, spam, or any harmful content through the Services
• Access or attempt to access any other customer's data or environment
• Circumvent any access controls, rate limits, or authentication mechanisms

3. Data Use & Confidentiality

3.1 Your Data. You retain all rights to data you transmit through the Services. INDRA processes your data only as necessary to deliver the Services and as described in our Privacy Policy.

3.2 INDRA Confidential Information. Access to the alpha or beta program may involve exposure to non-public features, roadmap information, pricing, and technical architecture. You agree to treat this information as confidential and not disclose it to third parties without prior written consent from INDRA.

3.3 Anonymized Telemetry. INDRA may collect and use anonymized, aggregate telemetry data from your use of the Services to improve the platform. No personally identifiable data or agent payload content is included in this telemetry.

4. Intellectual Property

The INDRA platform, including all software, algorithms, models, documentation, branding, and trademarks, are and remain the exclusive property of INDRA Identity, Inc. These Terms do not grant you any ownership rights. You receive a limited, non-exclusive, non-transferable license to use the Services solely for the purposes described herein.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. INDRA DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE FREE FROM ERRORS OR INTERRUPTIONS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF INDRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL INDRA'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO INDRA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

7. Indemnification

You agree to defend, indemnify, and hold harmless INDRA and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) your use of the Services in a manner that causes harm to a third party.

8. Termination

Either party may terminate these Terms at any time for any reason with written notice. INDRA may suspend or terminate your access immediately for material breach of these Terms, misuse of the Services, or conduct harmful to INDRA or other users. Upon termination, your right to use the Services ceases immediately and we may delete your data in accordance with our data retention schedule.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in English. You waive any right to participate in class action litigation or class-wide arbitration.

10. General

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and INDRA regarding the Services.

Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

No Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Changes. We may update these Terms with notice. Continued use of the Services after changes take effect constitutes acceptance.
